Key financial information in the summary of a prospectus

The key financial information in the summary of a prospectus should present the key financial figures that provide investors with a succinct overview of the issuer’s assets, liabilities and profitability, as well as any other key financial information that is relevant for investors to make a preliminary assessment of the financial performance and financial position of the issuer. In order to ensure that this information is concise and relevant, it is therefore necessary to identify a limited number of disclosures, specify their layout and calibrate the financial information to take account of different types of issuers and securities.

To this end the European Commission published its Delegated Regulation (EU) 2019/979of 14 March 2019

This Regulation supplements Regulation (EU) 2017/1129 of the European Parliament and of the Council with regard to regulatory technical standards on key financial information in the summary of a prospectus, the publication and classification of prospectuses, advertisements for securities, supplements to a prospectus, and the notification portal, and repealing Commission Delegated Regulation (EU) No 382/2014 and Commission Delegated Regulation (EU) 2016/301

Supreme Court seeks answers from the european Court of Justice in BP case

On 20 April 2010, an explosion occurred on the oil drilling platform Deepwater Horizon, leased by BP and located in the Gulf of Mexico, resulting in deaths and injuries. Damage was also caused to the environment.

In 2015, VEB summoned BP to appear before the District Court of Amsterdam and instituted a collective action pursuant to Section 305a of Book 3 of the Dutch Civil Code on behalf of all persons who, in the period from 16 January 2007 to 25 June 2010, purchased, held or sold ordinary shares in BP through an investment account in the Netherlands or through an investment account of a bank and/or investment firm established in the Netherlands. VEB believes that BP informed shareholders with a Dutch investment account incorrectly, incompletely or misleadingly about the oil spill.

In the lower courts and in cassation, the key question is about the international jurisdiction of the Dutch courts (Article 7, introductory sentence and point 2, Regulation Brussels I-bis (no. 1215/2012)).

The district court and the court of appeal have declared themselves incompetent. Does damage to an investment account offer sufficient starting points to qualify the Netherlands as the place where the damage occurred?

Special or additional circumstances for jurisdiction of Dutch courts. Meaning of the circumstance that there is collective action on the basis of Article 3:305a of the Civil Code.

The Supreme Court has handed down an interlocutory judgment in which it intends to put preliminary questions to the Court of Justice of the European Union.

Hoge Raad wil prejudiciële vragen stellen in BP zaak

Op 20 april 2010 heeft zich op het door BP geleaste olieboorplatform Deepwater Horizon, gelegen in de Golf van Mexico, een explosie voorgedaan met doden en gewonden tot gevolg. Tevens is schade aan het milieu ontstaan.

VEB heeft BP in 2015 gedagvaard voor de rechtbank Amsterdam en op de voet van art. 3:305a BW een collectieve actie ingesteld ten behoeve van alle personen die in de periode van 16 januari 2007 tot en met 25 juni 2010 gewone aandelen BP hebben gekocht, aangehouden of verkocht via een beleggingsrekening in Nederland of via een beleggingsrekening van een in Nederland gevestigde bank en/of beleggingsonderneming. VEB meent dat BP aandeelhouders met een Nederlandse beleggingsrekening onjuist, onvolledig of misleidend heeft geïnformeerd over de olieramp.

In feitelijke instanties en in cassatie gaat het over de  internationale bevoegdheid van de Nederlandse rechter(art. 7, aanhef en punt 2, Verordening Brussel I-bis (nr. 1215/2012).

Rechtbank en hof hebben zich onbevoegd verklaard. Biedt schade op beleggingsrekening voldoende aanknopingspunten om Nederland als ‘Erfolgsort’ te kwalificeren? Bijzondere of bijkomende omstandigheden voor bevoegdheid Nederlandse rechter. Betekenis van de omstandigheid dat sprake is van collectieve actie op de voet van art. 3:305a BW. De Hoge Raad wijst een tussenarrest en uit daarin het voornemen om prejudiciële vragen te stellen aan het HvJEU.

Les Journées Internationales de l’association Henri Capitant 2019 à Bordeaux et Paris

Cette semaine les membres de l’association des juristes de Langue Française, Henri Capitant, étaient invités en France au Conseil d’Etat, à la Cour Constitutionnelle, à la Cour d’Appel de Paris et à la Sorbonne. Ce fut une semaine instructive et amusante au cours de laquelle le thème de la solidarité dans le droit de l’indemnisation civile et la fiscalité ont été au centre des discussions à Paris. Je tiens également à remercier les collègues de l’Ordre des Avocats au Conseil d’État et à la Cour de Cassation pour leur accueil chaleureux. ESMA clarifies format for disclosure of risk factors in prospectuses

The European Securities and Markets Authority (ESMA) has published its final guidelines on how national competent authorities (NCAs) should review risk factors, as required by the new Prospectus Regulation (PR). 

The guidelines aim to encourage more appropriate, focused and streamlined risk factor disclosures for securities, which is presented in an easy to analyse, concise and comprehensible form.  

The purpose of including risk factors in a prospectus is to ensure that investors can assess the risks related to their investment, therefore allowing them to make informed investment decisions. Risk factors generally include information concerning:

  • the issuer’s financial situation;
  • the nature of the security or its underlying;
  • the issuer’s business activities and industry;
  • legal and regulatory risk;
  • internal control risk; and
  • environmental, social and governance risks.

The guidelines on risk factors will assist NCAs in their review of risk factor disclosure.

Prejudiciële vragen over Renteswaps. HR neemt het verzoek van de rechtbank Amsterdam voor het beantwoorden van prejudiciële vragen over renteswaps niet in behandeling.

Zulks naar aanleiding van de conclusie van de AG Wissink en een schikking tussen partijen.  In zijn conclusie behandelt hij de vereisten die kunnen worden gesteld aan de in art. 6:228 BW bedoelde mededelingsplicht van de bank.

Deze is afhankelijk van de omstandigheden van het geval, maar omvat niet een (mogelijk uit de zorgplicht van de bank voortvloeiende) waarschuwingsplicht. Verder wordt besproken dat, hoewel nadeel geen vereiste is voor een beroep op dwaling, een dergelijk beroep naar maatstaven van redelijkheid en billijkheid onaanvaardbaar kan zijn indien elk nadeel als gevolg van de dwaling ontbreekt.

Tot slot bespreekt de AG dat geen beroep op dwaling kan worden gegrond op een omstandigheid die voor de dwalende irrelevant was.

De voorgestelde antwoorden op de door de Rechtbank Amsterdam aan de Hoge Raad gestelde prejudiciële vragen staan in de nrs. 9.3, 10.44, 10.45 en 11.13 van deze conclusie.

Effectenlease Dexia. Bij directe afname van aanbieder moet belegger zich eerder verdiepen in risico’s van effectenleaseproduct

In het geval van particuliere beleggers die zich wenden tot een onafhankelijke beleggingsadviseur  rust op deze dienstverlener een bijzondere zorgplicht, die onder meer behelst dat hij naar behoren onderzoek doet naar de financiële mogelijkheden, deskundigheid en doelstellingen van zijn cliënt en dat hij hem dient te waarschuwen voor eventuele risico’s die aan een voorgenomen of toegepaste beleggingsvorm zijn verbonden, alsook voor het feit dat een door de cliënt beoogde of toegepaste constructie niet past bij zijn financiële mogelijkheden of doelstellingen, zijn risicobereidheid of zijn deskundigheid.

Deze plicht strekt mede ter bescherming van de cliënt tegen het gevaar van een gebrek aan kunde en inzicht of van eigen lichtvaardigheid. Dit brengt mee dat de cliënt in beginsel ervan mag uitgaan dat de dienstverlener die zorgplicht jegens hem naleeft, en dat de cliënt bij een door die dienstverlener geadviseerde constructie minder snel bedacht hoeft te zijn op en zich minder snel eigener beweging behoeft te verdiepen in niet vermelde risico’s dan degene die zich wendt tot een aanbieder van een effectenleaseproduct.

In deze zaak deed zich een andere situatie voor namelijk deze dat de belegger jegens de aanbieder van de effectenleaseovereenkomst belangstelling heeft getoond voor het aangaan van een dergelijke overeenkomst – in dit geval na te zijn benaderd door Dexia door middel van zogeheten cold calling, waarna adviseurs van Dexia hem hebben geadviseerd om effectenleaseproducten van Dexia af te nemen.

Het hof heeft terecht het advies onvoldoende geoordeeld om te komen tot een andere schadeverdeling.

Sustainability and Financial Markets

On 28 March 2019 the Dutch Central Bank (DNB) and the Radboud  University Nijmegen organized a congres on “Sustainability and Financial Markets”.

Among the speakers was a representative of the European Commission. He elaborated on the commission’s action plan on sustainable finance. This action plan was adopted in March 2018 and sets out a comprehensive strategy to further connect finance with sustainability. Its key actions include:

  • establishing a clear and detailed EU classification system – or taxonomy – for sustainable activities. This will create a common language for all actors in the financial system
  • establishing EU labels for green financial products. This will help investors to easily identify products that comply with green or low-carbon criteria
  • introducing measures to clarify asset managers’ and institutional investors’ duties regarding sustainability
  • strengthening the transparency of companies on their environmental, social and governance (ESG) policies. The Commission will evaluate the current reporting requirements for issuers to make sure they provide the right information to investors
  • introducing a ‘green supporting factor’ in the EU prudential rules for banks and insurance companies. This means incorporating climate risks into banks’ risk management policies and supporting financial institutions that contribute to fund sustainable projects

ESA Joint Board of Appeal rules on Swedish shadow rating cases

On 13 March 2019 the Joint Board of Appeal of the European Supervisory Authorities ( ESA’s; ESMA, EIOPA and EBA) published its decision in the Nordic banks’ appeals from the decisions of the Board of Supervisors of ESMA in the “shadow ratings” cases

The appeals were brought by four Swedish banks, Svenska Handelsbanken AB, Skandinaviska Enskilda Banken AB, Swedbank AB, and Nordea Bank Abp, from decisions of the Board of Supervisors of ESMA.

The ESMA Board of Supervisors found that the Credit Rating Agencies Regulation (CRAR) had been negligently infringed by the banks by including “shadow ratings” in their credit research reports. It adopted supervisory measures in the form of public notices and fines of EUR 495,000 on each bank.

Skandinaviska Enskilda Banken AB applied to suspend the decision of the ESMA Board of Supervisors as far as it applied to it, but the Board of Appeal refused that application by its Decision of 30 November 2018.

In deciding the appeals, and in summary, the Board of Appeal upheld the decision of the ESMA’s Board of Supervisors on the central question, which was whether the banks’ credit research reports fell within CRAR, but held that the banks (which had voluntarily desisted during the course of ESMA’s investigation) had not acted negligently.
